Annual MCA Compliance forms – Companies and LLP

Annual MCA compliance — every form, every due date.

Annual MCA compliance is the set of yearly filings a Company or LLP makes with the Registrar of Companies. A Company and an LLP file different forms on different dates — so this page keeps them apart: first the company calendar, then the LLP routine.

A · Annual compliance for companies

Seven filing dates for every unlisted company.

For a private or unlisted public company on a 31 March year-end, the year runs through these filings in order. AOC-4 and MGT-7 hang on the date of the AGM; the rest fall on fixed dates.

  1. 30Apr

    MSME-1 — October to March

A half-yearly return of payments outstanding to micro and small enterprise suppliers. It is filed twice a year; this is the second-half return.

    Form MSME-1
  2. 30May

PAS-6 — reconciliation of share capital

A half-yearly report, certified by a practising Chartered Accountant, Company Secretary or Cost Accountant, that reconciles the company’s issued share capital with the shares held in dematerialised and physical form. It is filed within 60 days of each half-year end — this one for October to March.

    Form PAS-6Unlisted public companies
  3. 30Jun

    DPT-3 — return of deposits

Information on deposits, filed by 30 June after the year-end.

    Form DPT-3
  4. 30Sep

DIR-3 KYC and the AGM deadline

Each director completes individual KYC by 30 September; missing it brings a ₹5,000 penalty. For a March year-end the AGM is also usually held by this date — and it starts the clock on AOC-4 and MGT-7.

    Form DIR-3 KYC
  5. 30Oct

    AOC-4* — financial statements

Due within 30 days of the AGM. It carries the balance sheet and profit and loss, the date of approval of the financials, the Directors’ Report and the Auditor’s Report.

    Form AOC-4
  6. 31Oct

    MSME-1 — April to September

The first-half return of the year, due by 31 October.

    Form MSME-1
  7. 29Nov

    MGT-7* — annual return · PAS-6

The annual return is due within 60 days of the AGM: share capital structure, shareholding, directorships, and board and general meeting dates. The April–September PAS-6 falls due around the same date.

    Form MGT-7Form PAS-6

* Assumes an AGM on 30 September; the AOC-4 and MGT-7 clocks run from the actual AGM date. Extensions notified by the MCA are not shown — we track them for every client.

OPC

One Person Company — a different timeline. An OPC holds no AGM. Its AOC-4 is filed within 180 days of the year-end — usually by 28 or 29 September — and its MGT-7A within 270 days.

₹100 a day, with no cap — the late fee on each of AOC-4 and MGT-7. Filing both 90 days late costs ₹9,000 + ₹9,000 = ₹18,000 in additional fees alone. The company’s income tax return is a separate filing — see our income tax returns write-up.
B · Annual compliance for LLPs

A three-step annual routine for every LLP.

An LLP’s routine is short and fixed — it has no AGM and none of the company forms above. Each form is filed on the MCA portal for the LLP and its designated partners.

Annual returnLLP Form 11

Contains information about the partners during the year, including any change in partners, filed following the close of the financial year.

By 30 May
Every designated partnerDIR-3 KYC

The KYC of each Designated Partner’s Director Identification Number. The requirement comes from the Companies Act but applies to designated partners of an LLP too. The penalty is ₹5,000 per DIN.

By 30 September
Statement of Account & SolvencyLLP Form 8

The LLP’s financial details — balance sheet and profit and loss — with a declaration that the LLP is solvent or not solvent. It carries the audit report if turnover exceeds ₹40 lakh or the contribution exceeds ₹25 lakh.

By 30 October
Watch the DIN. A deactivated DIN — usually from a missed DIR-3 KYC — blocks the partner from signing or filing, so Form 8 and Form 11 cannot go through until the KYC is done and the ₹5,000 fee is paid.

C · Other periodical MCA compliances

When something changes, file within 30 days.

Beyond the annual calendar, a Company or LLP files a specific form for each transaction. Most are due within 30 days of the event. These are the common ones:

SH-7Alteration in share capital
MGT-14Recording of resolutions under Section 117 of the Companies Act
DIR-12Change in directors
INC-22Change in registered office
PAS-3Allotment of securities
ADT-1Change in auditor — appointment of the auditor
ADT-3Change in auditor — resignation of the auditor
LLP Form 3Change in the LLP agreement or partners
LLP Form 4Change in partners
Form 15Change in address of the LLP

Late fees on these forms are relatively lower than on the annual forms — but they still add up, and they invite scrutiny.

Frequently Asked Questions (FAQs) – Everything you need to know

What are the deadlines for filing the annual return of a private limited company?

A private limited company files two key annual forms with the MCA: AOC-4 (financial statements) within 30 days of the AGM, and MGT-7 (annual return) within 60 days of the AGM. Since the AGM for a March year-end is usually held by 30 September, these typically fall due around late October and late November respectively. Missing these triggers a steep ₹100-per-day late fee with no cap.

Are the compliance rules different for a One Person Company (OPC)?

Yes, OPCs get some relief on timelines. An OPC files AOC-4 within 180 days of the financial year-end (usually by around 28 September), and MGT-7A within 270 days. An OPC also isn't required to hold an AGM. The other annual obligations, like DIR-3 KYC and event-based forms, still apply as normal.

What are the annual MCA compliance deadlines for an LLP?

An LLP has two main annual filings: Form 11 (Annual Return, covering partner details) by 30 May, and Form 8 (Statement of Account & Solvency) by 30 October, following the close of the financial year. On top of that, every Designated Partner must complete DIR-3 KYC each year.

What is the difference between AOC-4 and MGT-7?

Both are annual MCA filings, but they carry different information. AOC-4 contains the company's financial statements — balance sheet, profit & loss, the Directors' Report and Auditor's Report. MGT-7 is the annual return, covering share capital structure, shareholding, directorship details, and board and general meeting dates. A company files both every year, on separate deadlines tied to the AGM.

How do compliance disclosures in financial statements connect to income tax/GST?

MCA, GST and income tax figures need to be in sync with each other. Director/ Partners remuneration, loans to or from directors, and related-party transactions disclosed in your AOC-4 financials are cross-checked against TDS, personal ITRs and company tax returns. Mismatches invite scrutiny, so consistent disclosure across MCA and tax filings is essential.

Does annual MCA compliance apply if my company has incurred a loss?

Yes. Making a loss does not by itself eliminate annual MCA filing requirements. The company generally still needs to prepare its financial statements and complete the applicable annual filings.

Can I file LLP Form 8 or Form 11 while a Designated Partner's DIN is deactivated?

No. A deactivated DIN — usually caused by a missed DIR-3 KYC — blocks the partner from signing or filing LLP forms, so Form 8 and Form 11 can't go through until it's reactivated. The fix is to complete the pending KYC and pay the ₹5,000 reactivation fee first, then proceed with the annual filings.

What do I need to disclose once I become a director of a company?

Once appointed, a director must file certain disclosures with the company: Form DIR-8 (a declaration that they aren't disqualified) and Form MBP-1 (disclosing their interest/directorships in other companies, firms or bodies corporate). These are updated at the first board meeting each year and each time when there are changes in directorships/ shareholding. The idea is to maintain proper distance between firms which may have common directors/shareholders.

What are the tax and disclosure implications of becoming a company director?

Becoming a director creates disclosure obligations in your personal income tax return. If you're a director in any company, your ITR must report it — the company's name, PAN, your DIN, and whether its shares are listed — which rules out the simplest ITR forms. Any shareholding of unlisted shares must be disclosed too in ITR.

What are the common event-based MCA forms, and when are they due?

Apart from annual filings, companies and LLPs must report specific transactions — usually within 30 days. Common ones include DIR-12 (change in directors), INC-22 (change in registered office), SH-7 (alteration in capital), PAS-3 (allotment of shares), MGT-14 (recording resolutions). Filing them in time avoids late fees and scrutiny from government officials.

Can I close a Private Limited Company instead of continuing annual MCA compliance?

If there are no business operations to be done, companies may either choose to make it dormant or consider applicable closure/strike-off process rather than continuing indefinitely with annual compliance. However, pending filings, liabilities, assets, tax matters and other statutory requirements should be reviewed. You can read about strike off here.

What happens if my Private Limited Company has not filed MCA returns for several years?

The company should first identify all pending filings, determine the applicable additional fees and consequences, and assess whether any director or company status has been affected. Companies act gives a way out to avoid some late fees if there has been no business since some time.

What is the difference between annual MCA compliance and income-tax compliance?

Annual MCA compliance relates primarily to the company's obligations under Companies Act, 2013 Income-tax compliance relates to the company's tax return, tax payments, TDS and other obligations under income-tax law. A company generally needs to comply with both frameworks.

Can the shareholding of a Private Limited Company change during the year?

Yes. Shares can be transferred or new shares can be issued subject to the Companies Act, Articles of Association and applicable procedures. Change in shareholders have to be usually disclosed in the MGT 7/7A.  Entire process can be checked here.

Does Entrecap provide MCA compliance services in Mumbai?

Entrecap Business Services, based in Mumbai handles all annual and periodical MCA and ROC compliance for companies and LLPs across Kandivali, Borivali and other suburbs of Mumbai. With our associate services, we provide the same services to our clients in Delhi, Gujarat, Punjab, Andhra, Telangana, Pune and other cities of Maharashtra also. From DIR-3 KYC to Forms 8, 11, AOC-4 and MGT-7, we file everything well ahead of deadlines, and it can all be managed remotely.

Can annual MCA compliance be handled online without visiting your office?

Yes. The entire annual compliance process — document collection, drafting, approvals and MCA filing — can be handled online, wherever you're based in Mumbai, Pune or beyond. Many of our clients across India fully remotely, though our Kandivali West office is always open if you'd prefer to meet.

Why should I outsource my annual MCA compliance instead of tracking it myself?

Because the calendar is unforgiving — dozens of forms, 30-day event windows, and late fees. As our team head says – ‘Cost of compliance is always much lower than non-compliance’. Compliance should run quietly in the background while you focus on growth. Our team tracks every deadline, drafts your forms, explains the clauses, and files ahead of time, which is exactly why Mumbai and Pan India corporates stay with us year after year. You can check our google public reviews on MCA compliance from actual clients here.
