Appointment of a Director Section 164 check

In almost all cases, shareholders have the sole authority to appoint directors in a general meeting. Where the Articles of Association permit, the Board can appoint an Additional Director, who holds office until confirmed at the next shareholders’ meeting.

  • Declaration that the person is free of all disqualifications under Section 164
  • Consent in DIR-2, intimation in DIR-8 and disclosure of interest in MBP-1
  • A Director Identification Number (DIN) obtained before appointment

  • Resignation letter / notice received by the company
  • Company files DIR-12 within 30 days of receipt
  • The resigning director may optionally file DIR-11

Re-designation of a Director Change in post

  • An executive / whole-time director becomes non-executive, or vice versa
  • Shareholders confirm an additional director’s appointment in a general meeting

When a director will be absent from India for not less than three months, the Board may appoint an Alternate Director in their place — where the Articles or a members’ resolution allow it.

  • The alternate receives notices, attends meetings and votes
  • DIR-12 is filed for both the appointment and the cessation

Removal of a Director Section 169

A company may remove a director by ordinary resolution at a general meeting of shareholders, after giving the director a reasonable opportunity of being heard.

Change in Nominee of a Corporate Partner Section 161(3)

Where a corporate partner — an investor, lender or joint-venture company — has the right under the Articles or an agreement to nominate a director, it can withdraw its nominee and nominate another. In law this is a cessation and a fresh appointment, so both must be recorded.

  • Letter from the corporate partner withdrawing the current nominee and naming the new one
  • The new nominee holds a DIN and gives consent in DIR-2, intimation in DIR-8 and disclosure in MBP-1

Change in Directors in a Company – Appointment and Removal of Directors

Appointment and removal of directors : Directors are a very important pivot, perhaps the most important pivot of a Company. Shareholders appoint them to manage the affairs of the Company. They have specific functions, duties and powers. Chapter XI of the Companies Act,2013 contains the provisions for Change in Directors i.e. their appointment, resignation and removal.

1. Appointment of a Director –

Wherever the Articles of Association permit, the existing Board of Directors can appoint other ‘Additional directors‘ who can hold office till their confirmation at the next meeting of shareholders. However, in almost all other cases, shareholders have the sole authority to appoint Directors in general meeting.

The new director, should declare that he or she is free of all disqualifications which are mentioned under Section 164.

Further, he should give his

  • consent in forms DIR -2,
  • DIR -8 and
  • disclosure of interest in MBP-1.

Before appointment, a director should obtain a Director Identification Number (DIN).

Company shall file Form DIR -12 with the Registrar of Companies within 30 days of the director’s appointment.

2. Resignation of a Director –

Section 169 of the Act governs a situation of resignation of a Director. On receipt of the notice/letter of resignation, Company has to file DIR-12 within 30 days.

Also, the resigning director may optionally submit DIR -11 also.

3. Re- designation of director –

Re-designation of a Director can happen when:

  1. When a Director is re-designated from an executive/whole time to non- executive director or vice -versa OR
  2. shareholders confirm the additional director’s appointment in a general meeting.

Re-designation is not actually a change in Director but its more a change in post. Company has to file DIR -12 within 30 days of such re-designation.

4. Alternate Director –

In case of a director not visiting India for a year, he/she has to appoint an ‘Alternate Director’ as a proxy director for receiving notices, attending meetings and voting.

Company shall file DIR-12 for appointment and removal of an Alternate Director within 30 days of such an event.

5. Removal of Director –

Section 169 of the Companies Act, 2013 governs removal of a Director.

  • A company may, by ordinary resolution, remove a director, after giving him a reasonable opportunity of being heard.
  • This process is carried out at a general meeting of shareholders.
  • The above resolution shall also contain a Special Notice – lay down the reasons for removal and any written representations made by the Director.
  • Note the requirements of minimum number of Directors. If the removal of Directors involve bringing it below the minimum required levels, then shareholders have to first appoint a new director before removing an old Director.

Frequently Asked Questions (FAQs) – Everything you need to know

How can I change a director in a Private Limited Company in India?

Changing a director is an event-based corporate compliance process and the exact procedure depends on whether the change involves an appointment, resignation, removal, change in designation, additional director, alternate director or nominee director.

For a straightforward appointment or resignation, Form DIR-12 is generally used to intimate the RoC of the change within the prescribed period.

Can a director be appointed or removed without transferring any shares?

Yes. Directorship and shareholding are separate legal positions.

For example, if a director who is also a shareholder wishes to step down from the board, they may cease to be a director without necessarily transferring their shares.

Conversely, someone who holds no shares may be appointed as a director without acquiring any, subject to the applicable requirements.

A change in the Board does not by itself result in a transfer of ownership of shares. If the intention is also to change shareholders, the share transfer or other applicable transaction must be dealt with separately. You can read here.

Who has the authority to appoint a director in a company?

Shareholders, as a rule. Appointment of directors is ordinarily made by the members in general meeting — they own the company, so they choose who runs it.

In some cases, lenders, government institutions or even regulators may appoint Directors.

Another exception is where the articles permit the Board to appoint an additional director, who then holds office only until the next annual general meeting.

How long does it take to change a director in a company?

The statutory filing itself is only one part of the process. The practical timeline depends on factors such as:

  • whether the incoming person already has a DIN;
  • whether a Board or members' approval is required;
  • whether the outgoing director is resigning or being removed;
  • whether the Articles contain additional requirements;
  • whether the change is connected with an investment or restructuring; and
  • whether the company's existing MCA records are up to date.

For this reason, it is better to determine the complete compliance route first rather than treating “director change” as a single-form exercise.

What disqualifies a person from being a director?

Section 164 sets out the grounds, including

  • unsoundness of mind,
  • undischarged insolvency,
  • certain convictions,
  • non-payment of calls and where
  • where a company fails to file its financial statements or annual returns for a continuous period of three financial years, its directors are disqualified from being reappointed in that company or appointed in any other for a period of five years. Compliance defaults become personal.

Can a 17-year-old or minor become a director of a Private Limited Company?

No. A proposed director is required to give explicit consent to be appointed as one. A 17 year old is not yet a major and hence cannot legally give consent to become a director.

Can a person with a UK director ID be a director in an Indian company?

Yes. Foreign nationals, including UK citizens, can be directors in an Indian private limited company. They'll need to obtain an Indian DIN and DSC, and their identity and address documents must be notarised and apostilled abroad. Do note that at least one director on the board must be a resident of India. You can read our International desk here.

What is an additional director, and how long does the appointment last?

An additional director is appointed by the Board (specifically authorised by the Articles of Association) - without waiting for a general meeting . It’s useful when a company needs someone on the board quickly. The appointment lasts only until the next AGM, or the last date on which that AGM ought to have been held, whichever is earlier. At that meeting the members either confirm the appointment or the person ceases to be a director.

What is a nominee director?

A nominee director is appointed to the Board to represent a particular interest — typically a lender or an institution or by the Central or State Government. Under Section 161(3), the Board may appoint such a person where a law, or an agreement such as an investment or loan agreement, provides for it.

What is an alternate director, and when can one be appointed?

An alternate director is appointed for a director who will be absent from India for not less than three months. Under Section 161(2), the appointment is made by the Board — provided the articles authorise it or the members have passed a resolution to that effect — not by the departing director. The alternate attends meetings, receives notices and votes in the original director's place.

Who can't be appointed as an alternate director?

Someone who is already an alternate director for another director in the same company, or who already holds a directorship in that same company — the point being that an alternate must add a body to the board, not double-count an existing one. For an independent director, the alternate must themselves be qualified to serve as an independent director.

When does an alternate director's term end?

Automatically, the moment the original director returns to India — no resolution needed. The alternate also cannot hold office for longer than the original director's own permissible term. And if the original director's term expires while they're still abroad, any automatic re-appointment provision applies to the original director, not to the alternate. The alternate's position is always derivative

What is a casual vacancy and how is it filled?

A casual vacancy arises through death or disqualification of a Director. The Board may fill that vacancy, subject to the articles, and the appointment must then be approved by the members at the immediately next general meeting. It's a stopgap that keeps the board functioning, not a permanent appointment

Can a company remove a director without the director's consent?

A company can remove a director before expiry of the director's term in accordance with Section 169, subject to the statutory procedure – including the prescribed special notice requirements and providing a reasonable opportunity of being heard.

Therefore, a proposed removal should be reviewed from a corporate-law and governance perspective before the resolution and MCA filing are prepared.

What is re-designation of a director, and does it need a filing?

Re-designation is a change of role for an existing director - moving from whole-time or executive director to non-executive, or the reverse, or an additional director being confirmed as a regular director by the members. The company must still file DIR-12 within 30 days so the Registrar's records reflect the correct designation.

Do we need to update our internal registers as well as filing DIR-12?

Yes — and this is the step most often skipped. Beyond the DIR-12 filing, the company must keep its register of directors and key managerial personnel current, record the change in board minutes, and update the shareholding details of directors where relevant. At any future diligence or scrutiny, those internal records are checked against the MCA filings, and mismatches are exactly what raise questions.

How does a director resign, and which section governs it?

The director gives notice in writing to the company; the Board, on receiving it, takes note of the resignation; and the company files DIR-12 with the Registrar within 30 days of receiving the notice. The resigning director may also optionally file DIR-11.

What is the difference between resignation and removal of a director?

Resignation is initiated by the director and it takes effect from the date the notice is received by the company or the later date specified in the notice.

Removal, on the other hand, is a company-driven process governed principally by Section 169 of the Companies Act, 2013. It involves prescribed notice and an opportunity for the concerned director to be heard.

The distinction is important because resignation and removal should not be treated as interchangeable filing exercises.

Can the Board refuse to accept a director's resignation?

No. The Board's role under Section 168 is to take note of the resignation, not to approve or reject it. Resignation is a unilateral act by the director — once valid notice is received by the company, it operates by law. What the Board can do is record it, file DIR-12, and update the registers. A company that simply refuses to act does not keep the director in office.

The company hasn't filed DIR-12 after my resignation. What can I do?

This is a common and genuinely frustrating situation. Filing DIR-12 is the company's obligation, not yours — but you can protect your own position by filing DIR-11 with the Registrar, attaching your resignation notice and proof of dispatch. It creates an independent record that you resigned and when. Where a company is uncooperative, that record matters considerably later.

What happens if all the directors of a company resign at once?

The law does not let a company be left with no board. Where all directors resign, or all vacate office under Section 167, the promoter — or, in the promoter's absence, the Central Government — appoints the required number of directors, who hold office until directors are appointed by the members in general meeting.

What if removing a director would leave us below the minimum number of directors?

Then you must appoint a Director before you remove one. A private company needs a minimum of two directors, a public company three, and an OPC one. If the removal would take the board below its statutory floor, the shareholders have to appoint the incoming director first, and only then remove the outgoing one. Sequencing it the other way round leaves the company non-compliant from the moment the resolution passes.

Can a director lose their office simply by not attending board meetings?

Yes. Under Section 167, a director's office is vacated automatically if they fail to attend all board meetings held over a period of twelve months, whether or not leave of absence was granted. Not some — all. A non-executive director who has stopped attending vacates office by operation of law, without anyone passing a resolution. Attendance registers are worth keeping properly.

Does Entrecap handle change in directors for companies in Borivali or Kandivali, Mumbai?

Entrecap Business Services, headquartered in Kandivali West, Mumbai, handles appointment, resignation, removal and re-designation of directors for companies across Borivali, Kandivali, Mumbai and pan India — consent and disclosure documents, board and shareholder resolutions, DIR-12 filings, register updates, and follow-up with the Registrar so the government records actually reflect the change.

Can a change in directors be completed without visiting your office?

Largely, yes. Drafting, resolutions, consents and the MCA filings are all handled remotely — the main requirement is a valid digital signature for the signatories, wherever they are. Companies and LLPs across Mumbai, Pune and beyond work with us entirely online. Our Kandivali West office is open if you'd prefer to go through a contentious removal face to face.

We're changing directors as part of a buy-out. Can that be handled together?

Yes, and it should be. A change of ownership usually means a change of board, so the share transfer and the director change are best sequenced as one file — new appointments in place before resignations take effect, so the company is never left below its minimum or without an authorised signatory. Our team runs both sides of that together rather than as two disconnected filings.
