With the Companies Act, 2013 replacing the old Companies Act, 1956 , suddenly secretarial compliance requirements shot up, especially with the detailed requirements under the Companies Rules.

Delegated legislation under the Companies Rules was used by the executive to introduce a wide range of secretarial compliance in 2014; many of which were practically impossible to follow for many small and medium sized companies.

Relaxation from certain secretarial compliance came with the Amendment Act and the exemption notifications; both in 2015.

However, in the past few years, again secretarial compliance has seen a wider uptick for both Companies and now proposed for LLPs soon. Act and Rules now require a much larger number of annual forms to be filed and registers to be maintained.

Further, Secretarial standards issued by ICSI have been given official mandate which has also led to increase in specific compliance.
